Legal Counsel

Job Description International Operator seeking Legal Counsel to be based in Abu Dhabi. The successful candidate will Acts as Legal Counsel for the Company providing legal support to all business matters pertaining to the Iraq business unit. The work will span a broad spectrum of oil and gas and power activities and includes general corporate construction sourcing and procurement regulatory licensing employment and labour law intellectual property and tax issues.

Fantastic opportunity for the successful candidate to establish themselves with a Global operator. The successful candidate will report directly to the Legal and Business Services Manager.



Responsibilities

For Operations

Drafting negotiating and advising on various types of agreements such as joint operating agreement production sharing agreement transport agreement oil and condensate sales agreements sales and lifting agreements credit documentation.

Drafting negotiating and advising on commercial agreements including power purchase Agreements fuel supply agreements EPC contracts and long term service agreements

Liaising and working with legal counterparts at JV partner level to resolve legal issues.

Obtaining and maintain necessary governmental authorisations and approvals particularly licenses and permits.

Liaising and working with legal counterparts at JV partner level to resolve legal issues.

For Sourcing and Procurement

Drafting and editing of contracts and other sourcing related documents predominantly in projects engineering construction and drilling.

Reviewing and advising on contractorvendor documents and contractorvendor exceptions and revisions to companiesrsquo Terms and Conditions.

Participating in negotiations with contractors and vendors primarily at the tender stage.

Advising on rights remedies and potential claims.



For business development

Supporting due diligence and advising on legal issues pertaining to potential developments and acquisitions.

Reviewing and editing Sale and Purchase Agreements and allied documents such as confidentiality agreements.

Reviewing and editing Sale and Purchase Agreements EPC contracts off take agreements and other project documents required to affect a development project.

Tracking corporate formalities required to complete acquisitions and other transactions to include liaison with notaries and external counsel.





Desired Requirements

Essential

Experience of negotiating and drafting oil and gas industry contracts and agreements either in private commercial practice or inhouse.

Business acumen.

English language written and spoken fluency

Excellent analytical skills.

IT literate Microsoft Office Word Excel PowerPoint.

Excellent communication skills written and oral communication strong interpersonal skills with the ability to work independently as well as in multifunctional and crosscultural teams as an internal service provider.

Clear understanding and adherence to ethical principles the companiesrsquo values code of conduct and policies.

Proven track record of demonstrating sound business and legal judgement.

Strong work ethic a sense of urgency and be able to work effectively with deadlines.

Willingness to travel to Iraq as and when required and other international destinations.



Preferred

47 years prior experience with a major law firm or the legal department of an international energy company.

Knowledge of the legal and fiscal regime affecting the Iraq energy industry.

Prior experience with power agreements.
