Company SecretaryCorporate Secretary
The Company Secretary CS is responsible for ensuring that an organization complies with standard financial and legal practice and maintains standards of corporate governance and he she shall be entrusted with high level of responsibilities directly from BoD. The CS shall be responsible in conducting board meetings training and induction of top executives contact with regulatory and external bodies preparation of reports and circulars to shareholders etc.
DUTIES AND RESPONSIBILITIES
Convening of Board and various committee meetings
Preparing the agenda amp taking minutes of the meetings
Convene annual meeting of shareholders including proxy statement
Maintaining of corporate records
To act as a liaison between BoD amp subsidiary Co for better communications
Monitoring and ensuring compliance with Kuwait stock exchange and its coordination
Coordinating in the publication and distribution of company’s annual report and account statements
Governance liaison for officers and directors
Support to create and effect on board orientation for new directors and managers
Collect information from officers and directors to ensure legal and regulatory compliance formalities
Coordinate with board in the dividend payment and stock option plans
Arrange all necessary meeting required with Board and executive Management
Performing of any other duties as assigned by the Board of Directors
المهارات
Minimum 10 years of experience in similar post
Bilingual English Arabic linguistic ability
Exposure in handling corporate boards activities
Graduation in Law with specialization in Corporate Law
CMA shall be added advantage
